California Account Terms of Agreement

California Account Terms & Conditions:
CALIFORNIA TERMS OF SALE
All customers must have a current Customer Application and copies of the following documents on file with JMG International, Inc.:

• California Seller's Permit
• California Tobacco Products Retailer's License
• California Tobacco Products Distributor's License, if applicable
• California Resale Certificate 

Pursuant the California Cigarette and Tobacco Products Licensing Act of 2003, which became law on October 12, 2003, all retailers of any form of tobacco products must submit a copy of their Tobacco Retailer License for each place of business to JMG International, Inc. in order to purchase any form of tobacco products.

Tobacco products are defined as follows:
• Cigarettes or small cigars requiring tax stamps.
• Any form of smokeless tobacco.
• Pipe tobacco is any form.
• Premium and domestic cigars.
• Roll your own cigarette tobacco.

• All Distributors and Wholesalers of Tobacco Products have to be licensed under the Licensing Act of 2003.
• If you do not secure and submit a copy of your current Tobacco Products Retailer License to JMG International, Inc., you will not be able to secure any form of tobacco products from JMG International, Inc.
• Orders will not be shipped to delinquent accounts.
• A Service Charge of 1.5% per month will be charged on delinquent accounts. You will be charged $35.00 for any check returned by your bank regardless of the reason and will be subject to any recourse available to JMG as a result of a check being returned by your bank. Further, your account will be placed on Hold until you can make other arrangements with JMG.
• All orders will be shipped via UPS Ground unless otherwise specified and/or requested.
• All sales are complete at time of shipment.
• JMG International, Inc. will charge a re-stocking fee of 15% on any returned merchandise unless defective at time of arrival. Claims for damaged goods must be made within 24 hours after delivery confirmation.

CALIFORNIA TAX INFORMATION
JMG International, Inc. is a purveyor of premium tobacco products and accessories serving retail tobacconists only. This price list is a compilation of information from the manufacturers and is presented by manufacturer. All products of a certain manufacturer that JMG distributes are included within their respective section. JMG International, Inc. is not responsible for any errors and/or omissions from a specific manufacturer.

All premium tobacco product pricing contained herein includes the recently enacted Federal Excise Tax increase to fund the State's Children Health Insurance Program (SCHIP) and the applicable California Excise Taxes. The current California Excise Tax Rate on Other Tobacco Products (OTP) is 65.08% and is subject to change on July 1, 2018.

ACCOUNT TERMS
In consideration of purchasing products from JMG International, Inc. (Creditor), the undersigned jointly and severally agrees to pay all debits owed to Creditor in accordance with JMG International, Inc.'s terms. In the event Creditor shall refer this agreement to an attorney for collection of any sum due hereunder, reasonable attorney's fees may be awarded to prevailing party.

Without prejudice to Creditor's rights to bring action for collection of any monies due hereunder, any past due balance shall accrue interest, after 30 days from invoice date, at the rate of 18% PER ANNUM, but not to exceed the rate allowable by law. This interest is known as FINANCE CHARGE. Payment or accrual of the FINANCE CHARGE does not extend payment of any invoice beyond its due date or otherwise defer payment or extend credit terms. FINANCE CHARGE not paid will be added to past due invoice or invoices and total thereof will be subject to an additional FINANCE CHARGE. A $50.00 SERVICE CHARGE will be charged for each returned check.

Payments in U.S. dollars are to be mailed to JMG International, Inc. at P.O. Box 90280, San Jose, California 95109-3280 within terms agreed to by customer and JMG International, Inc.

CONTINUING INDIVIDUAL GUARANTY (For Corporations only)
In consideration of the extension of credit, the undersigned, jointly and severally, UNCONDITIONALLY GUARANTY and promise to pay JMG International, Inc. on demand, any and all indebtedness of Customer for merchandise sold and delivered to customer whether or not legal action is brought against customer, and whether or not customer's terms of payment have been extended, modified or compromised in any way. Guarantors agree to pay all attorneys' fees and all costs incurred in the enforcement of this guaranty.
